Website and Express Transport Request Terms

1. Scope

These Terms govern the use of the ProNex Express Transport website and the process of requesting, quoting and confirming transport services provided by ProNex Consulting s.r.o. (“ProNex”).

The website is used for transport enquiries, quotations, confirmation of express transport, communication relating to transport, and direct / time-critical road transport. Content on the website is general information. Browsing the site is not an offer that can be accepted, and website visuals or examples are not a confirmed vehicle, route, time or price.

A request submitted through the website, by email, telephone or another communication channel is an enquiry only and does not by itself create a binding transport contract.

A transport becomes binding only when ProNex expressly confirms the relevant transport, including at least the agreed scope and price.

Where mandatory law or an applicable international convention provides otherwise, that mandatory law or convention prevails.

2. Transport request and confirmation

The customer should provide sufficient information for ProNex to evaluate the requested transport, including where relevant:

  • pickup address
  • delivery address
  • requested pickup or delivery timing
  • cargo description
  • number of pieces
  • dimensions
  • weight
  • loading requirements
  • special handling requirements
  • legally required transport documents

A quotation may be based on the information supplied by the customer.

If information is incomplete or materially incorrect, ProNex may revise the quotation, revise the timing, request additional information, or refuse or suspend performance where lawful or operationally necessary.

3. No automatic acceptance

Submitting a Request Express Transport enquiry does not reserve a vehicle and does not guarantee availability.

A transport is confirmed only after explicit confirmation by ProNex.

Until confirmation:

  • no vehicle is reserved
  • no pickup is guaranteed
  • no transport contract is automatically created
  • no cancellation charge applies

4. Price

The applicable transport price is the price expressly confirmed by ProNex for the specific transport.

The price may depend on factors such as:

  • route
  • distance
  • timing
  • cargo dimensions and weight
  • vehicle requirements
  • waiting time
  • special handling
  • tolls, ferries or other route-specific costs where applicable

The applicable tax treatment is shown in the quotation or invoice according to law.

5. Changes after confirmation

After confirmation, requested changes are subject to availability and acceptance by ProNex.

Changes may include:

  • pickup or delivery address
  • pickup time
  • delivery requirements
  • cargo quantity
  • weight or dimensions
  • additional stops
  • waiting requirements
  • special handling

A material change may result in a revised price, revised pickup or delivery timing, or a new confirmation being required.

ProNex will communicate any material price change before continuing where reasonably possible.

6. Cancellation of a transport request

Before express confirmation. A customer may withdraw an unconfirmed enquiry without a cancellation charge.

After express confirmation. A confirmed transport may still be cancelled by contacting ProNex as soon as possible. If cancellation occurs after confirmation, ProNex may request reimbursement of reasonable and demonstrable costs that have already been incurred or irrevocably committed specifically for the confirmed transport.

Vehicle already dispatched. If the assigned vehicle has already started travelling towards the pickup location, cancellation costs may include reasonable costs relating to:

  • vehicle positioning / empty mileage
  • vehicle and driver time already used
  • reserved vehicle capacity
  • tolls, ferries or other unavoidable route costs
  • unavoidable third-party costs

After arrival or loading. If the vehicle has already arrived at the agreed pickup location, loading has begun, cargo has been loaded, or the transport has started, the customer may be responsible for the agreed price to the extent corresponding to services already performed, capacity already committed, and reasonable costs that cannot be avoided after cancellation.

Any cancellation charge must be proportionate to the actual circumstances and is subject to applicable mandatory law.

7. Customer or shipper not ready

The customer should ensure that:

  • the cargo is ready at the confirmed time
  • access to the pickup location is reasonably possible
  • necessary loading personnel or equipment are available where required
  • cargo information is accurate
  • legally required documents are available

If pickup is delayed for reasons outside ProNex’s control, the transport timing may change.

Additional waiting or operational costs may only be charged where they were agreed in the quotation or confirmation, or where they represent reasonable additional costs caused by a material customer-side delay and are permitted by applicable law.

8. Packaging and cargo information

The sender or customer is responsible for providing accurate cargo information.

Unless expressly agreed otherwise, the cargo must be suitably packaged and prepared for normal road transport.

The customer should inform ProNex before confirmation about:

  • fragile cargo
  • unusually valuable cargo
  • oversized cargo
  • abnormal weight
  • temperature-sensitive goods
  • dangerous goods
  • special securing or handling requirements

ProNex may refuse cargo that:

  • was materially misdescribed
  • cannot legally be transported
  • cannot safely be carried by the assigned vehicle
  • requires qualifications or equipment not expressly confirmed

9. Dangerous goods

Dangerous goods are not accepted unless ProNex expressly confirms acceptance before transport and all applicable legal, documentation, packaging, marking and vehicle requirements are satisfied.

10. Pickup and delivery times

Requested and indicated pickup or delivery times are operational targets unless expressly confirmed as guaranteed.

Traffic, border controls, weather, road closures, accidents, regulatory checks and other circumstances outside reasonable control may affect timing.

ProNex will use reasonable efforts to communicate material delays known during the transport.

Unless expressly confirmed for a particular transport, this website does not promise guaranteed same-day pickup, a guaranteed exact arrival time, or a guaranteed delivery time.

11. Direct transport

Where a transport is confirmed as dedicated or direct transport, the assigned transport is planned as a direct movement from pickup to delivery without planned cargo consolidation.

That confirmation does not exclude stops or interruptions that are legally required or reasonably unavoidable, including safety stops, legal driver requirements, border procedures, police or customs inspection, or emergency route changes.

12. Documents

The customer or sender is responsible for supplying documents and information legally required for the particular cargo and route.

Incorrect or missing documentation may cause delay, refusal of pickup, interruption of transport or additional lawful costs.

ProNex may request transport documents before or during performance.

13. Payment

Payment terms are those stated in the confirmed quotation, transport confirmation or invoice.

For overdue business-to-business payments, ProNex may exercise rights available under applicable law.

14. Liability

Liability for loss, damage or delay arising from an actual transport is governed by applicable mandatory law, the confirmed transport agreement, and, where applicable, the Convention on the Contract for the International Carriage of Goods by Road (CMR).

Unless expressly agreed, a confirmed transport does not itself constitute separate all-risk cargo insurance. Customers requiring additional cargo insurance should discuss this before confirmation.

15. CMR and international road transport

Where the transport falls within the scope of the CMR Convention, mandatory CMR provisions apply to the contract of carriage and carrier liability.

Nothing in these Terms is intended to exclude or restrict rights or obligations that cannot lawfully be excluded under the CMR Convention.

16. Claims and damage

The consignee should inspect the shipment on delivery where reasonably possible.

Any visible damage, shortage or other discrepancy should be recorded on the relevant transport or delivery documentation and communicated to ProNex promptly.

For hidden damage, delay or other transport claims, applicable statutory and CMR notice and limitation rules may apply.

17. Events outside reasonable control

ProNex is not responsible for failure or delay to the extent caused by circumstances outside its reasonable control, subject always to applicable mandatory law.

Examples may include:

  • severe weather
  • road closures
  • accidents
  • border or customs restrictions
  • public authority actions
  • strikes affecting transport infrastructure
  • sudden legal restrictions

This clause does not exclude liability where applicable law does not allow it.

18. Consumers

These services are primarily intended for commercial transport requirements.

Where a customer qualifies as a consumer, mandatory consumer-protection law applies and nothing in these Terms limits mandatory consumer rights.

For carriage of goods that is to be performed at a specifically agreed time or within a specifically agreed period, applicable consumer law may provide an exception to the standard right of withdrawal from a distance contract. That exception is not automatic for every consumer or every transport.

19. Governing law

These Terms and transport relationships are subject to the law applicable to the individual relationship, including mandatory international transport rules such as CMR where applicable.
